GCA + LCA Hybrid Structure
Two D.C.-chartered entities. One standards body. One operating vehicle. The cooperative model that maximizes Subchapter T benefits while accommodating institutional capital and multi-class governance.
Two entities. One cooperative family.
InnovateCredits Cooperative Association
D.C. Title 29 Ch. 9 — General Cooperative Association (GCA)
Why GCA: Genuine one-member-one-vote for the standards function. Provides the cooperative-purity narrative needed for Treasury and political reception.
InnovateCredits Operations LCA
D.C. Title 29 Ch. 10 — Limited Cooperative Association (LCA)
Why LCA: Accommodates multi-class capital + governance. Investor-member units available in founding round. Class-weighted governance reflects marginal contribution.
Separately constituted fiduciary sub-trust
The Data Trust is chartered as a sub-trust of the GCA with a separately constituted fiduciary board. Founding-member IP contributions are licensed into the trust — not transferred — preserving contributor IP rights while enabling cooperative-level data-asset valuation. Multiple Data Valuation Partners participate, each contributing distinct data-pledge supply under the sovereign-data-asset architecture.
IP Licensed In (Not Transferred)
Contributors retain underlying IP rights. The trust holds a cooperative license, not ownership.
Multi-Partner
Multiple Data Valuation Partners contribute distinct data-pledge supply. No single-partner lock.
IAS 38-Compliant Valuation
Project Constellation IVS framework applies for HAE (Hard Asset Equivalent) classification and bankable-collateral treatment.
Patron-Class Representation
Trust board includes patron-class representation to align data-asset governance with cooperative membership.
Mostly licensed-in, not built
The cooperative does not build commodity infrastructure. It licenses best-in-class platforms already operating at scale — and adds the issuance authority and governance layer that makes them cooperatively accountable.
